Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and EastonUK Limited (company no. 09613246, registered in England and Wales), trading as Tracer Takeoffs (“we”, “us”, “our”) covering your use of TracerTakeOffs at tracertakeoffs.com and its subdomains (the “Service”). By creating an account or using the Service you agree to these Terms. If you do not agree, please do not use the Service.
We may update these Terms from time to time. If a change materially affects your rights — for example pricing, billing, or cancellation — we will give you reasonable advance notice by email and in the app before it takes effect. We will always update the “Last updated” date above.
1. What TracerTakeOffs is
TracerTakeOffs is a web application for taking measurements from PDF drawings. It runs in your browser with no software to install. It lets you upload PDFs, set a drawing scale, measure lengths, areas and counts, organise those measurements into groups, and export them as a spreadsheet (CSV) or a marked-up PDF. Features change as we improve the product.
2. Your account
- You must be at least 13 years old to create an account.
- You are responsible for the accuracy of the details you provide and for keeping them up to date.
- You are responsible for keeping your password and account secure, and for everything done under your account. Tell us promptly if you think your account has been accessed without your permission.
- An account is for use by one person. Please do not share your login.
3. Free trial
New accounts include a 21-day free trial with full access and no payment card required. The trial does not turn into a paid plan automatically. When it ends, your account becomes read-only (see section 5) until you subscribe.
4. Plans, pricing and billing
- The standard subscription is $15 per month or $100 per year. Prices are shown in US dollars and are exclusive of any tax; applicable VAT or sales tax is calculated and added at checkout based on your billing details. We may introduce other plans or one-off purchase options, with their pricing shown at the point of purchase.
- Payments are handled by Stripe. We do not see or store your full card details (see our Privacy Policy).
- Paid subscriptions renew automatically at the end of each billing period at the then-current price for your plan, until you cancel. Each renewal is charged to your payment method on file.
- We may change prices. For an existing subscription we will give you at least 30 days’ notice before a change applies to your next renewal; if you do not accept it, you can cancel before that renewal.
- If a renewal payment fails, Stripe may retry it over a short period. During that time your account is treated as read-only until payment succeeds or the subscription is cancelled.
5. Cancelling, and what happens to your work
You can cancel at any time from your account settings or the Stripe customer portal — cancelling is as easy as subscribing. Cancellation takes effect at the end of your current paid period, and you keep full access until then. We do not give partial refunds for the unused part of a period except where required by law.
After a trial or paid period ends, your account becomes read-only: you can still sign in, view your jobs, drawings and measurements, and re-subscribe, but you cannot create or edit measurements, upload new files, or export until you subscribe again. We keep your data so it is all there if you come back. You can delete your account at any time, which permanently removes your data (Stripe may keep billing records where the law requires).
6. Acceptable use
You agree not to:
- upload anything containing malware or that you do not have the right to upload;
- try to access other users’ data, our systems, or parts of the Service you are not authorised to use;
- copy, resell, reverse-engineer or create a competing product from the Service itself;
- scrape or bulk-extract data from the Service using automated tools;
- disrupt the Service, get around security or usage limits, or create accounts to abuse free trials.
7. Your content and data
You keep all ownership of the PDFs, drawings, measurements and other content you put into the Service (“Your Content”). You give us a limited licence to store, process and display Your Content only so that we can provide the Service to you. You confirm that you have the right to upload Your Content and that doing so does not infringe anyone else’s rights.
8. Our intellectual property
The Service — including its software, design, look and feel, name and branding — belongs to us and is protected by law. These Terms do not give you any rights in it beyond the right to use it as intended while these Terms are in force.
9. Measurement accuracy is your responsibility
TracerTakeOffs is a measurement tool, not a substitute for professional judgement. The accuracy of any measurement depends on the quality of the PDF, the scale you set, and how precisely you click. You are solely responsible for checking every measurement before you rely on it in a bid, estimate, order, or anywhere else. We are not liable for errors in measurements, estimates or bids produced using the Service.
10. Availability
We work hard to keep the Service running but provide it on a “best efforts” basis and cannot guarantee it will be uninterrupted or error-free. We may take it offline for maintenance or updates.
11. Disclaimer of warranties
Except as required by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of satisfactory quality, fitness for a particular purpose, or non-infringement. Nothing in these Terms limits your statutory rights as a consumer.
12. Limitation of liability
Nothing in these Terms excludes or limits our liability where it would be unlawful to do so (including for death or personal injury caused by our negligence, or for fraud). Subject to that, we are not liable for indirect or consequential loss, or for loss of profits, business, goodwill or data, and our total liability arising out of or in connection with the Service in any 12-month period is limited to the greater of the amount you paid us in that period and £100.
13. Indemnity
You agree to cover reasonable losses and costs we incur as a result of your breach of these Terms, your misuse of the Service, or Your Content infringing someone else’s rights.
14. Suspension and termination by us
We may suspend or end your access if you breach these Terms, misuse the Service, or put its security or other users at risk. Where practical we will warn you first. No refund is due for a termination caused by your breach.
15. Governing law
These Terms and any dispute arising out of them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may also bring proceedings in the courts of the part of the UK in which you live.
